By clicking [“I AGREE”], you or the entity on behalf of whom you are using the Vantage Agency Affiliate Platform (“you” or “Affiliate” or as applicable) are entering into an agreement with Vantage Agency Ltd. (“the Company”, “us”, “we”, “our”) , under which you will be bound by the terms and conditions (the “Terms and Conditions”) located at https://vantageagency.ca/terms-and-conditions If you do not agree to be bound by the Terms and Conditions, you must not access or use the Vantage Agency Affiliate Platform (as defined in the Terms and Conditions). 

While it is your responsibility to review the Terms and Conditions carefully, the following is a summary of certain essential terms of the Terms and Conditions:

Definitions: Capitalized terms used and not otherwise defined in this Agreement shall have the meaning given to them in Section 1 of the Affiliate Agreement.

Affiliate Site and Content: The Affiliate has sole and exclusive responsibility and liability for the development, operation, maintenance and all materials and content that appear on the Affiliate website, and shall operate and maintain the Affiliate website in accordance with all applicable laws, rules and regulations. Additional details are located in Section 2 of the Affiliate Agreement.

Compensation for your Referred Trafic: Subject to your proper installation and use of the Links, the Affiliate will be compensated based upon the Net Sale Price from Completed Transactions. The  compensation (the “Fee”) shall be 10% of the onboarding fee paid by the Client, in accordance with the attached Schedule of Fees. Additional details are located in Section 3 of the Affiliate Agreement.

Limited License Rights: The Affiliate agrees to place one or more of the Links on the Affiliate website. Links may contain logos, trademarks, service marks (collectively, “Marks”). Pursuant to this Agreement, the Company grants the Affiliate a limited, non-exclusive, non-transferable and revocable license to display the Links on the Affiliate website, and nowhere else, subject to the terms and conditions of this Agreement. Changes to Terms and Conditions. Except where prohibited by applicable law, we may change the Terms and Conditions at any time by posting a new version to the ApplyBoard Platform. You are responsible for monitoring the ApplyBoard Platform for any such changes and for reviewing such changes.  Additional details are located in Section 8 of the Affiliate Agreement.

Term and Termination: This Agreement shall be effective upon the execution of the same by the Parties and may be terminated by either Party upon written notice to the other. Additional details are located in Section 9 of the Affiliate Agreement.

Relationship: The Affiliate is an independent contractor with respect to the Company. Nothing in this Agreement is intended to or should be construed to create a partnership, joint venture, franchisor/franchisee or employer-employee relationship between the Affiliate and the Company. Additional details are located in Section 10 of the Affiliate Agreement.

Confidentiality: The Affiliate promises and agree to hold Confidential Information in strict confidence and in trust for the sole benefit of the Company, both during the term of this Agreement and at all times thereafter, and shall not use such Confidential Information for any purpose, whether or not for consideration, business or personal, other than as may be reasonably necessary for the performance of its duties pursuant to this Agreement, without the Company’s prior written consent.  Additional details are located in Section 11 of the Affiliate Agreement.
